AI Gateway Terms of Service

1. Acceptance of Terms

By accessing or using the BroadComms AI Gateway ("Gateway"), you agree to be bound by these AI Gateway Terms of Service ("Gateway Terms"). These Gateway Terms are a supplement to the BroadComms general Terms of Service. In the event of any conflict between these Gateway Terms and the general Terms of Service, these Gateway Terms prevail with respect to your use of the Gateway.

2. Service Description

BroadComms AI Gateway provides a unified, OpenAI-compatible API for accessing AI models from multiple underlying inference providers. Key characteristics:

• Model Marketplace: We offer access to models (e.g. Kimi K3, Gemini, GPT-OSS) at flat per-model prices we control, not provider inference costs.
• Unified API: One OpenAI-compatible endpoint — change one line of code to route through BroadComms.
• Automatic Routing: Requests are routed across one or more inference providers for availability, latency, and cost optimisation.
• Cost Visibility: Real-time usage logging with per-call cost tracking in your dashboard.

3. API Accounts & Keys

• You must create an account and maintain API keys to access the Gateway.
• API keys are personal and tied to your account. You are responsible for keeping them confidential.
• You may create multiple API keys per organisation, subject to your plan's key limits.
• All usage under your API keys is billed to your account. Notify us immediately of any unauthorized use.
• API keys remain the property of BroadComms and may be revoked at any time.

4. Acceptable Use Policy

You agree not to use the Gateway to:

• Generate content that is unlawful, harmful, threatening, defamatory, or infringing.
• Attempt to circumvent rate limits or exploit routing for cost arbitrage.
• Resell Gateway access as a proxy or intermediary service without written permission.
• Use the Gateway to train or fine-tune models using provider APIs accessed through BroadComms.
• Input personal data of third parties into AI models without appropriate consent.
• Violate any third-party provider's acceptable use policies, which are incorporated by reference.

5. Model Usage & Credits

• Usage is billed at the flat per-model prices listed on your plan. Prices are in CAD and subject to change with 30 days' notice.
• Monthly included credits are provided according to your subscription plan and reset each billing cycle.
• Unused included credits do not roll over to the next billing cycle unless otherwise stated.
• Credit top-ups are non-refundable. Purchased credits are used after included credits are exhausted.
• Usage beyond your credit balance is blocked until you purchase additional credits or upgrade your plan.
• Referral credits are unlocked after the referred user completes at least 10 qualifying API calls. See Section 7.

6. Bring Your Own Keys (BYOK)

The Gateway supports registering your own OpenAI-compatible API keys ("Managed Keys") to route requests through your existing provider accounts:

• Managed Keys are encrypted at rest using Fernet encryption. BroadComms stores the encrypted value only.
• Requests routed through Managed Keys are logged in your dashboard for analytics but are billed at $0 by BroadComms.
• You are solely responsible for the security, cost, and availability of your own provider keys.
• BroadComms does not endorse or guarantee the outputs or availability of third-party providers accessed via Managed Keys.
• Abuse of Managed Keys (e.g. using them in a way that violates a provider's terms) may result in suspension of your account.
• Managed Key usage is subject to BroadComms' general acceptable use policy, regardless of the third-party provider's terms.

7. Referral Program

The BroadComms referral program awards $5 CAD in credits to both the referrer and the referred user when:

• The referred user signs up using a valid referral link.
• The referred user completes at least 10 qualifying API calls within 30 days of signup.
• Referral credits are locked (pending) until the qualifying condition is met by both parties.
• Only one referral credit pair is permitted per unique email domain.
• BroadComms reserves the right to revoke referral credits if fraud or abuse is detected.

8. Intellectual Property

• All Gateway infrastructure, routing technology, pricing models, and dashboard is owned by BroadComms.
• Model names, provider names, and trademarks are the property of their respective owners (e.g. Kimi, Google, NVIDIA).
• AI model outputs may be subject to third-party intellectual property claims. You are responsible for ensuring your use of model outputs complies with applicable IP law.

9. Data & Privacy

• What prompt and completion data is stored and for how long.
• How data is shared with inference providers (e.g. Google, NVIDIA, OpenRouter).
• Your rights regarding data access, correction, and deletion.
• Data retention for API call logs, billing records, and account data.

10. Third-Party Providers

The Gateway routes requests to inference providers including but not limited to Google (Gemini), NVIDIA, and OpenRouter. Key points:

• BroadComms acts as an intermediary. Your use of third-party provider APIs through the Gateway is subject to those providers' terms of service.
• We do not guarantee the availability, latency, or output quality of any inference provider.
• Provider pricing and model availability may change. We will endeavour to notify you of material changes.
• Provider data handling is governed by each provider's privacy policy and terms.

11. Disclaimers & Limitations

The Gateway is provided "as is" and "as available." To the maximum extent permitted by law:

• We do not warrant that the Gateway will be uninterrupted, error-free, or secure.
• We do not warrant the accuracy, completeness, or fitness for purpose of any AI model outputs.
• We are not liable for any costs incurred due to provider outages, pricing changes, or model deprecations.
• Our total liability arising from Gateway use shall not exceed the fees paid by you in the 12 months prior to the claim.

12. Indemnification

You agree to indemnify and hold BroadComms harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Gateway, your violation of these Gateway Terms, or your violation of any third-party provider terms.

13. Termination

• You may terminate your Gateway account at any time via the dashboard or by contacting support.
• BroadComms may suspend or terminate accounts that violate these Gateway Terms or applicable law.
• Upon termination, your API keys are revoked immediately and any unused credits are forfeited.
• Billing obligations survive termination with respect to usage incurred prior to termination.

14. Governing Law

These Gateway Terms shall be governed by and construed in accordance with the laws applicable in your jurisdiction. Disputes shall be resolved in the courts of competent jurisdiction.
